Welcome to Agro Trade Mart! These Seller Terms and Conditions (“Terms”) govern your use of our multi-vendor e-commerce platform (“Platform”) provided by Agro Trade Mart (“Company”, “we”, “us”, or “our”). By registering as a seller on our Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use our Platform.
1. Seller Registration
1.1 Eligibility:
To register as a seller, you must be legally capable of entering into a binding contract and must not be barred from receiving services under the laws of your jurisdiction.
1.2 Application:
You must complete the registration process by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
2. Product Listings
2.1 Product Compliance:
You agree to list only products that comply with applicable laws and regulations. You must not list prohibited items, including but not limited to illegal products, counterfeit items, and hazardous materials.
2.2 Product Descriptions:
You must provide accurate and detailed descriptions of your products. Misleading or false descriptions are strictly prohibited.
2.3 Pricing:
You are responsible for setting the prices of your products. Prices must be fair and competitive.
3. Order Fulfillment
3.1 Inventory Management:
You must ensure that your listed products are in stock and available for purchase. You are responsible for updating your inventory in a timely manner.
3.2 Shipping:
You must fulfill orders promptly and ensure that products are shipped in a timely manner. You are responsible for all shipping costs unless otherwise agreed with the buyer.
3.3 Returns and Refunds:
You must establish a clear return and refund policy. You agree to process returns and refunds in compliance with your policy and applicable laws.
4. Fees and Payments
4.1 Commission Fees:
We charge a 5% commission on each withdrawal through our Platform. The commission rate will be specified in your seller agreement.
4.2 Payment Processing:
Payments for sales will be processed through our payment gateway. We will remit your earnings, minus any applicable fees, on a regular basis as specified in your seller agreement.
4.3 Taxes:
You are responsible for collecting and remitting any applicable taxes on your sales. We may provide tax calculation tools, but you are ultimately responsible for ensuring tax compliance.
5. Intellectual Property
5.1 Ownership:
You retain ownership of the intellectual property rights in your products and listings. However, by listing products on our Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your listings for the purpose of operating and promoting our Platform.
5.2 Infringement:
You must not infringe upon the intellectual property rights of others. If we receive a complaint of infringement, we may remove the offending listings and terminate your account.
6. Prohibited Conduct
6.1 Misrepresentation:
You must not engage in any form of misrepresentation, including but not limited to false advertising, fake reviews, and misleading product descriptions.
6.2 Fraud:
You must not engage in fraudulent activities, including but not limited to payment fraud and identity theft.
6.3 Abuse:
You must not abuse our Platform, including but not limited to spamming, hacking, and exploiting vulnerabilities.
7. Termination
7.1 Termination by Us:
We reserve the right to terminate your account and access to our Platform at any time, with or without cause, and with or without notice.
7.2 Termination by You:
You may terminate your account at any time by providing written notice to us. Upon termination, you must cease all use of our Platform.
8. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through our Platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.
9. Indemnification
You agree to indemnify and hold harmless Agro Trade Mart, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Platform, your violation of these Terms, or your violation of any rights of another.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our Platform. You are advised to review these Terms periodically for any changes. Your continued use of our Platform after the posting of changes constitutes your acceptance of such changes.
